This Statement of Work (“SOW”) is governed by and incorporated into the Master Services Agreement (“MSA”) between Relentnet, LLC and Client.
1. Scope of Services
Relentnet shall provide design, development, testing, deployment, and limited post-delivery support services as defined in this SOW, an accepted quote, or an accepted invoice.
2. Deliverables & Acceptance
Deliverables are defined in the applicable scope documentation.
Acceptance Window
Client shall have ten (10) business days from delivery to provide written notice of material nonconformity.
If no notice is provided within this period, the deliverable shall be deemed accepted.
3. Limited Post-Delivery Support
All deliverables include a ninety (90) day limited support period unless otherwise stated. No ongoing support or maintenance is included without a separate agreement.
4. Intellectual Property
Unless expressly stated otherwise, all deliverables are governed by the Intellectual Property provisions of the Master Services Agreement.
5. Term
Project duration shall be defined in this SOW, an accepted quote, or an accepted invoice.
If no duration is defined, the project is deemed open-ended solely for billing and administrative purposes and may be terminated in accordance with this Agreement.
6. Workflow Diagnostic and Refund
6.1 Scope and fee. A Workflow Diagnostic is a fixed-fee engagement of two thousand U.S. dollars ($2,000) (the “Diagnostic Fee”). Relentnet delivers a written workflow map, friction summary, priority list, and build recommendation (together, the “Map”).
6.2 Credit toward a build. If Client accepts a Statement of Work, quote, or invoice for a build within sixty (60) days after Relentnet delivers the Map, the Diagnostic Fee is credited in full toward that build.
6.3 Refund. If Client is not satisfied with the Workflow Diagnostic, Client may request a refund of the Diagnostic Fee by written notice, which may be sent by email to inquiries@relentnet.com, received within fourteen (14) days after Relentnet delivers the Map. Client does not need to give a reason. Relentnet will refund the Diagnostic Fee in full within ten (10) business days after receiving the request.
6.4 Limits. The refund in Section 6.3: (a) applies only to the Diagnostic Fee and not to any other fees, services, or deliverables; (b) is available once per business, including its affiliates and successors; (c) is not available after the Diagnostic Fee has been credited toward a build under Section 6.2; and (d) is Client’s sole remedy for dissatisfaction with the Workflow Diagnostic.
6.5 The Map after a refund. Client may keep and use the Map for its internal business purposes after a refund. All other intellectual property terms of the Master Services Agreement continue to apply.
7. Termination
Relentnet may terminate this SOW at any time.
Client may terminate with thirty (30) days’ written notice, subject to payment of all incurred fees, committed costs, and applicable minimum terms.
Client may not terminate for convenience once development work has commenced unless expressly agreed in writing.
8. Acceptance
Payment of any invoice constitutes acceptance of this SOW.
Client acknowledges that it has had the opportunity to review this SOW and seek independent legal counsel prior to acceptance.
